Although some Directors hold multiple directorships in non-Group entities, the NC is satisfied that these Directors are able to contribute and adequately performed their duties as Directors of the Company. Board Performance Principle 5: The Board undertakes a formal annual assessment of its effectiveness as a whole, and that of each of its board committees and individual directors. The performance of the Board is closely tied to the performance of the Company. The Board should ensure compliance with applicable laws. Board members should act in good faith, exercise due diligence and care in the best interests of the Company and its shareholders. The Board, through the delegation of its authority to the NC, had made its best efforts to ensure each Director possesses the experience, knowledge and skills critical to the Group’s business. This is necessary to enable the Board to make sound and well-considered decisions.
